Who We Are

Vaulta is operated by (Ride) Vaulta Ltd, a company registered in Scotland under company number SC894353, with its registered office at Office 524/18, Young Street, Edinburgh, EH2 4JB, Scotland ("Vaulta", "we", "us", or "our").

These Terms & Conditions ("Terms") govern your access to and use of the Vaulta mobile application and the website at ridevaulta.com (together, the "Service").

Acceptance of Terms

By downloading, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Eligibility

You must be at least 18 years old to create an account and use the Service. By registering, you confirm that you meet this age requirement and that all information you provide is accurate.

The Service is not directed at, and should not be used by, anyone under the age of 18.

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

You agree to provide accurate, current, and complete information when creating your account and to keep this information up to date.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or are used fraudulently.

Subscriptions & Pricing

Vaulta offers paid subscription plans, including a Monthly plan, an Annual plan, and a limited Founder Membership. Current pricing is displayed within the app and at ridevaulta.com.

Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal. Payment is processed securely via Stripe, our third-party payment processor.

We reserve the right to change subscription pricing for future billing periods. Existing Founder Members retain their locked-in rate as described in Section 6.

Founder Membership

Founder Membership is limited to the first 2,000 qualifying members and is offered at a discounted introductory rate, followed by a reduced recurring rate for the lifetime of an active, continuous subscription.

Founder status, including any associated founder number or badge, is non-transferable.

The Reward Pool

Vaulta allocates 50% of qualifying monthly subscription revenue into a monthly reward pool, distributed to top-performing eligible riders based on their performance on the in-app leaderboard during that calendar month.

The size of the reward pool varies month to month based on the number of active paying subscribers and is not guaranteed to be any particular amount. Reward pool figures, example amounts, and projections shown in the app or on our marketing materials are illustrative only and not a guarantee of actual payouts.

We reserve the right to adjust the percentage allocated to the reward pool, the distribution structure between leaderboard positions, or the mechanics of the reward pool at our discretion, with reasonable notice provided to users via the app.

Eligibility for Rewards

Only users with an active, paid subscription (Monthly, Annual, or Founder Membership) are eligible to appear on the prize-eligible leaderboard or receive a reward pool payout. Free-tier users may use core tracking features but are not eligible for monthly rewards.

To remain eligible, rides must be verified as genuine and must not be flagged by our anti-cheat systems as described in Section 9.

We reserve the right to disqualify any user from reward eligibility, for that month or permanently, if we reasonably believe their account has been used to manipulate, exploit, or unfairly influence leaderboard standings.

Anti-Cheat & Fair Play

Vaulta employs automated systems to detect rides that appear physically implausible (for example, impossible speeds, distances, or GPS patterns). Rides identified by these systems may be automatically rejected, flagged for manual review, or excluded from leaderboard scoring.

Manipulating GPS data, using third-party tools to falsify ride data, creating multiple accounts to gain unfair advantage, or otherwise attempting to deceive our verification systems is strictly prohibited and may result in immediate account suspension and forfeiture of any pending reward pool eligibility.

Payouts

Reward pool payouts are processed following the end of each monthly competition period, after a verification window during which flagged or disputed rides are reviewed. Payouts are typically issued within a reasonable period following verification, via bank transfer or PayPal, depending on the payout method selected by the user.

You are responsible for ensuring the accuracy of your payout details. Vaulta is not liable for payouts sent to incorrect details provided by the user.

You are solely responsible for determining and meeting any tax obligations arising from reward pool winnings in your jurisdiction.

Not Gambling

Vaulta's reward pool is a skill-based competition. Leaderboard rankings, and therefore reward eligibility, are determined solely by a user's own cycling performance — including factors such as distance, elevation gain, consistency, and improvement — and not by chance, random selection, or wagering against other users.

No additional payment, wager, or stake beyond the standard subscription fee is required or accepted to participate in the reward pool. Vaulta does not constitute gambling, betting, or a lottery under applicable law.

Acceptable Use

You agree not to use the Service to:

• Harass, abuse, or harm other users
• Post content that is unlawful, defamatory, obscene, or infringes the rights of others
• Impersonate any person or entity
• Attempt to gain unauthorised access to the Service, other accounts, or our systems
• Use automated means (bots, scrapers) to access or interact with the Service without our consent
• Reverse engineer, decompile, or attempt to extract the source code of the Service

User Content

You retain ownership of content you post on Vaulta (such as ride descriptions, comments, and photos), but you grant Vaulta a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content within the Service for the purpose of operating and promoting Vaulta.

We reserve the right to remove any content that violates these Terms or that we reasonably consider inappropriate, and to suspend accounts responsible for repeated violations.

GPS & Location Data

Vaulta uses your device's GPS to track ride data such as route, distance, speed, and elevation. By using ride tracking features, you consent to the collection of this location data as described in our Privacy Policy.

You may control location permissions through your device settings, but disabling location access will prevent core ride-tracking functionality from working.

Third-Party Integrations

Vaulta may offer integrations with third-party services such as Strava, and in future, Garmin Connect, Wahoo, and Apple Health. Your use of these integrations is also subject to the relevant third party's own terms and privacy policies, which we encourage you to review.

We are not responsible for the availability, accuracy, or practices of third-party services.

Intellectual Property

All intellectual property in the Service, including the Vaulta name, logo, branding, software, and design, is owned by or licensed to (Ride) Vaulta Ltd. You may not copy, reproduce, or create derivative works from any part of the Service without our prior written consent.

Cancellation & Refunds

You may cancel your subscription at any time through your device's app store account settings or in-app, effective at the end of the current billing period. We do not generally offer refunds for partial billing periods, except where required by applicable consumer protection law.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

Vaulta is a fitness tracking and rewards application. It is not a substitute for professional medical advice. Consult a healthcare professional before beginning any new exercise programme.

Limitation of Liability

To the fullest extent permitted by law, (Ride) Vaulta Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of, or inability to use, the Service, including loss of data, loss of reward pool eligibility, or personal injury sustained while cycling.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

Changes to These Terms

We may revise these Terms from time to time. We will notify users of material changes via the app or by email where appropriate. Your continued use of the Service following such changes constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of Scotland. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
